Disclaimer
This portal provides information and education on clean energy infrastructure, project development, and the assessment of private-market investments. It is designed to help members understand concepts, questions, risks, and decision frameworks.
1) No offer, no solicitation, no advice
-
investment advice, a personal recommendation, or suitability/appropriateness guidance;
-
legal, tax, accounting, or regulatory advice; or
-
an offer to sell, or solicitation to buy, any investment or security in any jurisdiction.
You should not rely on portal content as the basis for any investment decision. Always take independent advice from appropriately qualified professionals.
2) Regulatory status and financial promotions (UK)
The UK has strict rules on “financial promotions” (invitations or inducements to engage in investment activity). Where any communication is capable of being a financial promotion, it may only be made lawfully if communicated by an authorised person, approved by an authorised person with the relevant permission, or an exemption applies. The FCA’s “section 21 gateway” means authorised firms need FCA permission to approve promotions for unauthorised persons (unless exempt).
Accordingly, any member-only opportunity materials (if and when provided) will be shared only through appropriate controls, and where required, only after the relevant approvals and eligibility steps have been completed.
3) Who this portal is for
This portal is intended for serious participants in the clean energy ecosystem (capital allocators, private investors, advisors, operators, suppliers, and strategic partners). Access to certain sections may be restricted based on jurisdiction, eligibility, and internal trust and verification checks. If you do not have the relevant permissions, you must not access or act on restricted sections.
4) Key investment risks (read carefully)
Clean energy infrastructure and private-market investments can carry high risk. You may lose some or all of the money you commit. High-level risks can include (not exhaustive):
-
Illiquidity: you may not be able to sell or exit when you want (or at all).
-
No income/returns guarantee: dividends or distributions may be delayed, reduced, or not paid.
-
Project delivery risk: delays, cost overruns, permitting, interconnection, logistics, and contractor performance.
-
Operational risk: equipment failure, underperformance, downtime, poor maintenance, spare-part constraints.
-
Counterparty risk: off-taker payment defaults, weak credit, contract disputes, and enforcement challenges.
-
Country and regulatory risk: policy changes, licensing, import rules, taxation, or restrictions on operations.
-
Currency and repatriation risk: FX volatility, convertibility, and the ability to move cash across borders.
-
Force majeure and climate events: extreme weather, conflict, and other disruptions.
-
Valuation uncertainty: private assets can be hard to value and may be priced infrequently.
5) Protections may be limited (especially if unregulated)
If an investment is offered by a firm that is not FCA regulated, there are generally fewer protections; for example, it may be harder to complain to the Financial Ombudsman Service or claim through the Financial Services Compensation Scheme.
6) Accuracy, third-party content, and “forward-looking” statements
We aim to keep information accurate and up to date, but we do not guarantee completeness, accuracy, or timeliness. Some materials may be based on third-party sources (developers, operators, suppliers, public data). Any projections, scenarios, targets, or estimated returns/impacts are forward-looking and may change materially; they are not promises.
7) Impact information
Any impact metrics (e.g., emissions avoided, diesel displacement, uptime, beneficiary outcomes) are estimates based on stated assumptions and available data. Methodologies may evolve, and reported impact may differ from early estimates.
8) Confidentiality and permitted use
Member-only content is confidential and for your personal internal use. You must not copy, record, screenshot, forward, or redistribute restricted materials without written permission. We may suspend or terminate access for misuse.
9) Liability (important)
To the fullest extent permitted by law, Tribes Capital excludes liability for losses arising from reliance on portal content or from technical interruptions. Nothing limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
10) Changes
We may update this disclaimer and related terms at any time. Continued use of the portal indicates acceptance of the updated version.
