These terms and conditions outline the rules and regulations for using Tribes Capital’s Website, located at https://tribes.capital/.
By accessing this website, we assume you accept these terms and conditions. Do not continue to use Tribes Capital if you do not agree to take all of the terms and conditions stated on this page.
1) Who we are
This portal (the Portal) is operated by TRIBES CAPITAL LTD (Company No. 10298112) with registered office at 20-22 Wenlock Road, London, England, N1 7GU (we, us, our).
2) What these Terms cover
These Terms govern your access to and use of:

any members-only areas, content, events, tools, documents, and discussions.
They do not replace:

our Privacy Policy and Cookie information (which explain how we handle personal data and cookies); and

our Disclaimer and Risk pages (which explain important investment-style risks and limitations).
If there is a conflict, the Disclaimer/Risk wording applies to reliance and investment-related points.
3) Definitions (quick)

Member: a registered user of the Portal.

Member-only Materials: content restricted by login, verification, or permissions.

Opportunity Materials: any project or transaction-related information that could be seen as inviting or encouraging investment activity.

Ecosystem Participants: suppliers, EPC/O&M providers, developers, financiers, advisors, operators, and other partners.
4) Eligibility and your account
You must be:

18+ to create an account; and
-
legally allowed to access the Portal in your jurisdiction.
You agree to:

provide accurate details;
-
keep login credentials secure; and
-
notify us promptly if you suspect unauthorised access.
We may refuse, suspend, or terminate accounts to protect the community or comply with the law.
5) Community standards and acceptable use
You must not:

use the Portal to post unlawful, misleading, defamatory, or infringing content;
-
impersonate others or misrepresent your role/authority;
-
share “guaranteed returns” claims, pressure tactics, or spam;
-
scrape, crawl, reverse engineer, probe security, or overload the Portal;
-
publish Member-only Materials outside the Portal without written permission.
We can remove content, limit reach, or suspend accounts at our discretion to maintain safety, quality, and compliance.
6) Verification, restrictions, and gating
Parts of the Portal may be restricted by:

jurisdiction;

role (investor, operator, supplier, advisor, etc.);

verification (identity, organisation checks, conflict checks); and/or
-
eligibility steps required before we can lawfully share certain materials.
You agree to provide reasonable information for these checks. If you do not, access may be limited.
7) Education-only; no advice; no offer
The Portal is designed primarily for education, community collaboration, and ecosystem coordination. Nothing on the Portal is:

investment advice or a personal recommendation;

legal/tax/regulatory advice;
You must make your own decisions and seek independent professional advice where needed.
8) UK financial promotions (important)
UK rules restrict “financial promotions” (communications that invite or induce investment activity). Where content could be a financial promotion, it generally must be communicated/approved in a lawful way (including, where applicable, approval by an authorised firm with the right FCA permissions).
Accordingly:

We may avoid discussing “opportunities” publicly;

Opportunity Materials (if/when introduced) may sit behind controls and eligibility steps; and

We may restrict or withdraw materials at any time to remain compliant.
9) Risk warning (don’t skip)
If you ever go beyond learning and review any Opportunity Materials, you should assume the underlying activity is high risk and illiquid, and you could lose all capital and be unable to exit. Returns are not guaranteed; forecasts can be wrong; protections may be limited depending on structure and regulatory status.
10) Confidentiality of Member-only Materials
Unless we explicitly say otherwise, Member-only Materials are confidential. You must not:

share, forward, publish, screenshot, record, or redistribute them; or
-
use them to create derivative marketing or public commentary.
We may watermark, track access, and enforce restrictions (including termination) for misuse.
11) Intellectual property
We (and our licensors) own all Portal IP, including text, branding, design, and materials, except where stated otherwise.
We grant you a limited, revocable, non-transferable licence to access and use the Portal for your personal/internal purposes, subject to these Terms.
12) Your content and the permissions you give us
If you post or upload content (comments, files, messages), you:

confirm you have the rights to do so; and

grant us a worldwide, royalty-free licence to host, reproduce, display, and modify it for operating and improving the Portal and community.
We are not responsible for user posts, but we can moderate and remove content.
13) Third-party services and links
The Portal may use third-party services (hosting, analytics, email, video, forms, payment processors, affiliate/referral tooling). We are not responsible for third-party outages, acts, or omissions.
External links are provided for convenience and do not imply endorsement.
14) Events, webinars, and recordings
We may host live or recorded sessions. By attending, you agree:

not to record or redistribute unless we permit it; and

that speakers may share opinions (not advice), and we’re not responsible for third-party statements.
15) Fees, subscriptions, and refunds (if introduced)
Some features may be free; others may become paid. If you purchase access:

prices, renewal terms, and cancellation steps will be shown at checkout;

you remain responsible for taxes and charges imposed by your provider; and
-
statutory rights (including consumer rights) are not affected.
16) Availability and changes to the Portal
We do not guarantee uninterrupted availability. We can modify, suspend, or discontinue any part of the Portal (including Member-only sections) at any time.
17) Liability (read carefully)
To the maximum extent permitted by law:

we exclude liability for losses arising from reliance on Portal content, delays/outages, or third-party services;

we exclude indirect or consequential losses (e.g., lost profits, lost opportunity, reputational loss).
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law (including death/personal injury caused by negligence).
18) Indemnity
If your breach of these Terms causes us loss (including claims from others), you agree to indemnify us for reasonable costs, damages, and expenses arising from that breach.

20) Changes to these Terms
We may update these Terms from time to time. Continued use after changes means you accept the updated Terms. If changes are material, we’ll try to give reasonable notice via the Portal or email.
21) Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, unless mandatory local consumer laws require otherwise.
